Terms and Conditions
0. Definitions
- ‘Seller’ means Insight Lighting Solutions
- ‘Buyer’ means the company or person who purchases Goods from the Seller
- ‘Goods’ means the articles to be supplied to the Buyer by the Seller
1. General
- These terms & conditions constitute the entire agreement between the Seller and the Buyer, relating to the Goods purchased by the Buyer, to the exclusion of all other agreements, warranties or understandings. The Buyer’s submission of a purchase order shall represent an acknowledgement and acceptance of these terms and conditions.
- It is the Buyer’s responsibility to obtain any licenses or permits necessary to comply with this agreement.
- Any description, data, specification, performance figure, drawing, dimension or weight applied to the Goods in catalogues, price lists or advertisements are an identification only and do not constitute a sale by description. For avoidance of doubt the Buyer hereby affirms that it does not rely on any description when entering into this agreement.
2. Quotation & Pricing
- All quotes for SA & NT to be directed to projects@insightlighting.com.au
- All quotes for WA to be directed to projectswa@insightlighting.com.au
- All prices quoted for Goods are valid quotes for 30 days from the date of quotation.
- Standard lead times reflected on quote & email body.
- Deliveries to South Australia: standard fittings allow 4-7 weeks, custom fittings allow 5-8 weeks.
- Deliveries to Northern Territory: standard fittings allow 5–8 weeks, custom fittings allow 6-9 weeks.
- Deliveries to Western Australia: standard fittings allow 5–8 weeks, custom fittings allow 6-9 weeks.
- Insight Lighting will quote corresponding to all drawings & specifications given by the client.
- Internal mark ups & take off’s will be done by Insight Lighting as a precaution to verify client details given.
- If data/ specification details do not correspond with items available, Insight Lighting will quote an alternative in this instance.
- Freight charges will apply for quotations under $5,000 or for delivery outside of Adelaide or Perth Metropolitan area, Darwin not included.
- Standard freight charges apply to quotations, unless specified otherwise in notes.
- Air freight / expedited freight charges will apply if required to meet project deadlines, at buyers’ expense.
- The individual prices on quotations are solely based on all items being ordered as a package & delivered in one delivery. If there are changes in any items or quantities, Insight Lighting reserves the right to increase the individual prices on items.
- It is the responsibility of the customer to ensure individual quantities and measurements are correct.
3. Project Ordering
- All Purchase Orders for SA & NT to be directed to projects@insightlighting.com.au
- All Purchase Orders for WA to be directed to projectswa@insightlighting.com.au
- Pricing from Quote to Purchase Order, is to correspond with quote validity, Insight Lighting reserves the right to verify after receiving Client Purchase Orders.
- Tech Data & sign off documents must be formally approved in writing, prior to any ordering of goods.
- Lead time is at quote date and is from sign offs and/or approvals, not from order date.
- All orders must have requirement dates given in writing. Alternatively, goods will be delivered as soon as available.
4. Delivery & Transit
- Any delivery times are an estimate only & are subject to change.
- Delays in delivery or dispatch will not relieve the client of its obligations to accept & pay for the Order.
- Delivery will not be split and will go to customer unless organised prior.
- Freight to Northern Territory is not included.
Approximate (Estimated Only) Road Express costs: 50cm3 20kg box $55, 100cm3 55kg box $300, small pallet $500. Insight Lighting will gain costs after final fitting dimensions and weight are provided by manufactures and purchase orders will need to be updated before dispatch.
Alternatively, customer freight accounts may be used.
5. Damages & Replacements
- The client will waive any claim for short supply of goods or damaged goods, if no claim as been actioned within 3 days from the date of delivery.
- Replacements will be issued after inspection of items & how damages/ faults occurred.
- Insight Lighting are not responsible for any costs occurred through damaged or faulty items in relation to additional labour or hire charges, or subcontracting charges.
6. Warranty
- In order to claim under warranty, the client must contact Head Office for a GRA form, along with sending through relevant Order documents.

7. Refunds & Returns
- In order to claim under refunds & returns, the client must contact our Head Office for a GRA form, along with sending through relevant Order documents.

- The Customer may only return Goods which are not specifically manufactured to the Customer’s order with the express approval of the Company given in writing (which may be withheld or given at the Company’s discretion).
- Non stock items (custom fittings) are non-returnable.
- The Goods must be returned within 30 days from the date of delivery under cover of a Goods Return Note issued by the Company unused and in prime condition in their original packaging and together with all accessories, instructions, specifications or other material supplied with the Goods.
8. Payment Terms
- Where credit applications are approved by Insight Lighting for the Client payment of the price, GST and any other applicable costs shall be due within 30 days of the date of the invoice supplied by the Seller.
- For orders totalling $5,000.00 net value or less, where no credit has been offered, payment is to be made in full by the Buyer at the placement of order.
- For orders totalling more than $5,000.00 net value a 50% deposit is to be paid by the Buyer, at the placement of order, with the remaining balance to be paid on demand when the order or partial order is ready for shipment.
- If any payment is not paid in accordance with this agreement by the due date the Seller shall be entitled to:
- Terminate this contract with the Buyer or any other existing contracts that are with the Buyer.
- Stop production or refuse to make delivery of any undelivered goods without incurring any liability whatever to the Buyer for non-delivery or any delay in delivery.
- Charge the Buyer interest on overdue invoices from the date the invoice was due. Interest will be charged on a day-to-day basis at a rate of 20% per annum. Payments made by the Buyer after this point will be allocated first to interest charges then to outstanding invoices, in the order that they were issued to the Buyer.
- Charge the Buyer for all costs incurred for collection of overdue invoices (including any fees payable to a collection agency).
- Please note there is a 2% surcharge for any credit card payments.
- Lead time commence once deposits have been received, for cash sale Pro Forma Invoices.
- Goods remain the property of Insight Lighting Solutions until payment is made in full.
9. Cancellation of Orders
- Cancellation requests will be considered on a case-by-case basis, depending on the type of goods and time frame. All cancellations are subject to the minimum cancellation charge of 50% of the whole price as agreed to on the purchase order.
- The Customer may cancel an order for Goods purchased under a Consumer Contract if the Company is unable to deliver the Goods within 5-7 days of any agreed delivery date. Where Goods are purchased other than under a Consumer Contract the Customer may only cancel an order with the agreement in writing of the Company.
- Non stock items (custom fittings) are unable to be cancelled.
10. Covid Statement
- Lead times are detailed for each item on the quote, and commence once approvals have been received. Standard lead times are 4 to 7 weeks.
- Please note that they are subject to change, especially during the current global Covid situation, overseas freight time fluctuations, along with manufacture time fluctuations.
- Additional freight costs may also be applicable depending on time of ordering and dispatch.
